1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Texas Business Leads, LLC, a Florida limited liability company ("Company," "we," "our," or "us"). By accessing our website at texasbusinessleads.com or subscribing to our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use our Services.

2. Eligibility and Representations

By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • If using our Services on behalf of a company or organization, you have authority to bind that entity to these Terms
  • All information you provide to us is accurate and complete
  • You will comply with all applicable laws in your use of our Services and the lead data we provide

3. Description of Services

Texas Business Leads provides business lead data derived from publicly available government records. Our Services include:

  • Weekly reports of new business permit filings
  • Customized lead filtering by geography (zip codes, counties) and industry (NAICS codes)
  • Delivery via email in Excel or other formats

Data Source

All business lead data is compiled from publicly available government records. We do not create, verify, or guarantee the accuracy of this underlying government data.

4. Subscription Terms

4.1 Subscription Plans

We offer subscription plans as described on our pricing page. Subscription fees are charged in advance on a recurring basis (weekly, monthly, or annually, depending on your plan).

4.2 Automatic Renewal

IMPORTANT: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate for each renewal period.

Cancellation requests must be received before your next billing date to avoid charges for the upcoming period.

4.3 Payment

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all subscription fees. You are responsible for keeping your payment information current.

4.4 Refunds

Subscription fees are generally non-refundable. However, if you are unsatisfied with our Services, contact us within 7 days of your initial subscription and we will work with you to resolve the issue or provide a refund at our discretion.

4.5 Price Changes

We may change subscription prices upon 30 days' notice. Price changes will take effect at your next renewal date. Your continued subscription after a price change constitutes acceptance of the new price.

4.6 Electronic Communications

By subscribing to our Services, you consent to receive electronic communications from us, including:

  • Subscription confirmations and receipts
  • Lead reports and data deliveries
  • Renewal notices and billing communications
  • Service updates and announcements
  • Responses to your inquiries

You agree that these electronic communications satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications but not transactional communications related to your subscription.

5. Acceptable Use

5.1 Permitted Uses

You may use our Services and the lead data we provide for your own legitimate business purposes, including:

  • Sales prospecting and lead generation
  • Direct marketing (in compliance with applicable laws)
  • Market research and analysis

5.2 Prohibited Uses

You may NOT:

  • Resell, redistribute, or sublicense our lead data to third parties
  • Use automated means (bots, scrapers) to access our website or Services
  • Attempt to reverse-engineer our data compilation or selection methods
  • Use our Services for any unlawful purpose
  • Misrepresent your affiliation with us or imply our endorsement
  • Interfere with the operation of our website or Services

5.3 Compliance with Laws

You are solely responsible for ensuring your use of our lead data complies with all applicable laws, including telemarketing regulations (TCPA, state do-not-call laws), anti-spam laws (CAN-SPAM), and any other applicable marketing regulations.

6. Intellectual Property

6.1 Our Rights

While the underlying government records are public, our selection, arrangement, and presentation of lead data, along with our website content, software, and trademarks, are proprietary to Texas Business Leads and protected by intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the lead data we provide solely for the permitted uses described in Section 5.1, subject to these Terms.

6.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7. Disclaimers

7.1 Data Accuracy

THE LEAD DATA WE PROVIDE IS DERIVED FROM PUBLIC GOVERNMENT RECORDS AND IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not verify, guarantee, or warrant the accuracy, completeness, or currentness of any lead data. Business information may be outdated, incorrect, or incomplete in the underlying government records.

7.2 No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.3 Third-Party Services

Our Services may integrate with or link to third-party services (such as Stripe for payments). We are not responsible for the availability, accuracy, or practices of third-party services.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TEXAS BUSINESS LEADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability for certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Texas Business Leads and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws in connection with your use of our lead data

10. Termination

10.1 By You

You may cancel your subscription at any time as described in Section 4.2. Cancellation will be effective at the end of your current billing period.

10.2 By Us

We may suspend or terminate your access to our Services immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to our business or other users. We may also discontinue our Services at any time with 30 days' notice.

10.3 Effect of Termination

Upon termination, your right to use our Services and any lead data we have provided will cease. Sections 6, 7, 8, 9, 11, and 12 shall survive termination.

11. Dispute Resolution

11.1 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Harris County, Texas, before a single arbitrator.

11.2 Class Action Waiver

YOU AND TEXAS BUSINESS LEADS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

11.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

11.4 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

12.2 Venue

Subject to Section 11 (Dispute Resolution), any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of such courts.

12.3 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, power failures, internet or telecommunications failures, or third-party service outages.

12.4 Notices

We may provide notices to you by email to the address associated with your account. You are responsible for keeping your email address current. Notices sent by email are effective when sent. You may provide notices to us by email to info@texasbusinessleads.com or by mail to our address listed in Section 13.

12.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Texas Business Leads regarding our Services and supersede any prior agreements.

12.6 Modifications

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be effective 30 days after posting. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

12.7 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

12.8 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.9 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
